Terms of Service

These Terms of Service ("Terms") form a legal agreement between you ("you" or "Customer") and Retrograde Labs ("Retrograde Labs," "we," "us," or "our"), governing your access to and use of Lune (the "Service"), including:
- the Lune dashboard at luneresearch.com,
- Lune custom connectors and AI-application apps, including custom connectors / apps that allow you to use Lune from inside third-party AI applications such as ChatGPT, Claude, Cursor, VS Code, Codex, OpenCode, Perplexity, Manus, Hermes, and other AI applications that support custom connectors or Model Context Protocol (MCP) integrations, and
- the Lune command-line application distributed under the npm
package
@retrograde-labs/lune-cli.
By creating an account, accessing the Service, or clicking "I agree," you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
If you do not agree to these Terms, do not access or use the Service.
1. The Service
1.1 What we provide
Retrograde Labs operates a hosted research platform that gives AI applications and developers structured access to academic research content (paper search, citation graphs, conference monitoring, research-methodology guidance) sourced from public and licensed metadata feeds. We expose this functionality through the dashboard, the custom connectors / AI-application apps, and the command-line application described above.
1.2 What we do not redistribute
The Service does not redistribute paywalled full-text content. Where full text is available, it is sourced from open-access feeds (such as arXiv, OpenAccess, and similar repositories) under their respective licenses. Where the underlying paper is paywalled, the Service provides metadata, abstracts, citation links, and pointers to the publisher.
1.3 Beta features
Some features may be released as "beta," "preview," or "experimental." These features are provided as-is, may change without notice, and are not guaranteed to remain available.
2. Account
2.1 Eligibility
You must be at least 13 years of age, or the minimum legal age of consent in your jurisdiction, whichever is higher, and you must not be barred from using the Service under applicable law.
2.2 Registration
You agree to provide accurate registration information and to keep it current. You are responsible for activity that occurs under your account, including activity by your team members and by AI applications you connect to your account.
2.3 Credentials
API keys, tokens, and other credentials issued by the Service are secrets. You are responsible for keeping them confidential and for the consequences of disclosure or compromise. Promptly revoke any credential you believe has been compromised; we are not liable for losses caused by unauthorized use prior to revocation.
2.4 Teams
The Service supports both personal and shared teams (also called "organizations"). The owner of a team is responsible for the team's billing, member roster, and overall account state. Members of a paid team share the team's plan allowance and credits per the rules described in the dashboard.
3. Plans, fees, and credits
3.1 Plans
Current plans, prices, and included allowances are displayed at luneresearch.com/pricing and on the dashboard's billing page. By subscribing to a paid plan you agree to the displayed prices and recurring charges.
3.2 Billing cycle and renewals
Paid plans renew monthly on the anniversary of subscription unless you cancel. We will charge your payment instrument at the start of each billing cycle. If a charge fails, we may retry, suspend the account, or downgrade to the free plan after notice.
3.3 Credits
The Service offers prepaid request credits as a top-up. Credits are purchased in fixed bundles (currently 300 credits for $0.99) through Stripe. Credits never expire and are consumed one-for-one once your daily plan allowance is exhausted. Credits are non-refundable except where required by law.
3.4 Cancellation and downgrade
You may cancel or downgrade your subscription at any time through the dashboard's billing page. Cancellation takes effect at the end of the current billing period; downgrades take effect at the same boundary. You retain access to the higher allowance until then.
3.5 Refunds
Subscription fees are non-refundable except as required by law or as expressly stated by us. Where you have purchased a credit pack and have not used any credits from that pack, you may contact support within 14 days for a full refund of that pack.
3.6 Taxes
Prices are exclusive of applicable taxes. You are responsible for any sales, use, value-added, or similar taxes on amounts payable, except taxes based on Retrograde Labs' net income.
3.7 Price changes
We may change prices, allowances, or credit terms with at least 30 days' notice (sent to the email on file or posted on the dashboard billing page). The change takes effect at the start of your next billing cycle following the notice. If you do not accept the change, you may cancel before it takes effect.
4. Use of the Service
4.1 Acceptable use
You will not, and will not permit any third party to:
- Use the Service to violate any law, regulation, or third-party right (including intellectual-property and privacy rights).
- Reverse engineer, decompile, or attempt to derive the source code of any part of the Service that is not already open-source.
- Bypass, disable, or interfere with rate limits, quotas, billing meters, security mechanisms, or team isolation.
- Use the Service to build a competing service that substantially replicates the Service.
- Republish or redistribute paywalled content obtained via the Service in violation of the underlying publisher's license.
- Use the Service to send spam, malware, harassment, child sexual abuse material, or content that infringes the rights of others.
- Use automated means to scrape the Service in a way that materially exceeds normal API or AI-application use, or in a way that is designed to evade our quota system.
4.2 Acceptable use in AI applications
When you connect Lune to a third-party AI application, you remain responsible for the queries that application sends and the use you make of the responses. You must comply both with these Terms and with the AI application vendor's terms.
4.3 Suspension
We may suspend or limit your access to the Service if (a) we have a good-faith belief that you have materially breached these Terms, (b) your use is creating a security or operational risk to the Service or to other users, or (c) we are required to do so by law.
5. Customer content
5.1 Definition
"Customer Content" means the queries, prompts, files, and other content you submit to the Service, and the responses the Service returns to you (collectively, your "inputs" and "outputs").
5.2 Ownership
As between you and Retrograde Labs, you retain all rights you have in your Customer Content. We claim no ownership of your inputs or outputs.
5.3 License to operate
You grant Retrograde Labs a non-exclusive, royalty-free, worldwide license to host, copy, transmit, display, and otherwise process Customer Content solely as needed to provide and improve the Service to you, to enforce these Terms, and to comply with law. We do not use Customer Content to train machine-learning models.
5.4 Responsibility
You are responsible for ensuring that you have all rights, consents, and authority necessary for us to process your Customer Content as described.
6. Intellectual property
6.1 Our rights
Retrograde Labs and its licensors retain all right, title, and interest in and to the Service, including all trademarks, software, designs, and documentation. No rights are granted to you except as expressly set out in these Terms.
6.2 Feedback
If you send us suggestions or feedback, you grant Retrograde Labs a perpetual, irrevocable, royalty-free license to use that feedback to improve the Service, with no obligation to credit or compensate you.
6.3 Open-source components
Portions of the Service include open-source software made available under their own licenses. Those licenses control with respect to those portions; nothing in these Terms restricts your rights under them.
7. Privacy
Our Privacy Policy describes how we collect, use, and share information. By using the Service you agree to the practices described there.
8. Third-party services and AI applications
The Service interoperates with third-party AI applications and services. We do not control those third parties, are not responsible for their conduct, and make no representations about them. Your use of any third-party AI application is at your own risk and subject to that application's terms. When you authorize a third-party AI application to access Lune, you authorize Retrograde Labs to send responses to that application; what the application does with those responses is governed by its own terms.
9. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. RETROGRADE LABS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT RESEARCH RESULTS RETURNED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR FIT FOR YOUR INTENDED USE.
You are responsible for verifying the accuracy and applicability of research results before relying on them in any consequential context (including academic publication, clinical decisions, financial decisions, or legal proceedings).
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) RETROGRADE LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) RETROGRADE LABS' TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US$100).
These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest amount permitted by law.
11. Indemnification
You will defend, indemnify, and hold harmless Retrograde Labs, its affiliates, officers, employees, and agents from and against any third-party claims, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your breach of these Terms, (b) your Customer Content, or (c) your use of the Service in violation of law or third-party rights.
12. Term and termination
12.1 Term
These Terms apply from the moment you first access the Service and continue until terminated.
12.2 Termination by you
You may terminate by deleting your account at
/dashboard/settings/account. Cancellation of paid subscriptions is
governed by Section 3.4.
12.3 Termination by us
We may terminate these Terms or suspend your access at any time, with or without cause, on reasonable notice (or immediately, in the case of material breach, security risk, or legal compulsion).
12.4 Effect of termination
Upon termination: (a) your right to access the Service ends; (b) we will revoke your API keys and connected applications; (c) we will delete your Customer Content per Section 5 and our Privacy Policy, subject to legal retention obligations. Sections that by their nature should survive termination, including Sections 5.2, 6, 9, 10, 11, 14, and 15, will survive.
13. Modifications
We may modify these Terms from time to time. The "Last updated" date at the top reflects when we last revised them. If a change is material, we will give at least 30 days' notice (by email or in-product banner) before it takes effect. Continued use of the Service after a change becomes effective constitutes acceptance.
14. Governing law and disputes
14.1 Governing law
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14.2 Disputes
Except for disputes that may be brought in small-claims court or that involve injunctive relief for intellectual-property infringement, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by JAMS in San Francisco, California, in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
14.3 Class-action waiver
You and Retrograde Labs each waive the right to bring or participate in any class, collective, or representative action against the other.
14.4 30-day right to opt out
You may opt out of Sections 14.2–14.3 by sending written notice to [email protected] within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
15. General
15.1 Notices
Notices to you may be sent to the email on file or posted on the dashboard. Notices to us must be sent to [email protected].
15.2 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
15.3 No waiver
Failure to enforce any provision is not a waiver of that provision or of any other right.
15.4 Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
15.5 Entire agreement
These Terms, together with the Privacy Policy and any order form or addendum we sign with you, are the entire agreement between you and Retrograde Labs regarding the Service and supersede all prior agreements on the subject.
15.6 Force majeure
Neither party is liable for failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, pandemic, internet or power outages, or third-party service failures.
